Amendment to Merger Agreement Between GTECH S.P.A. and International Game Technology (IGT)

ROME, Italy and PROVIDENCE, Rhode Island (September 23, 2014) -- GTECH S.p.A. (ISE:GTK) and International Game Technology (IGT) today announced that they have amended their previously announced Agreement and Plan of Merger dated July 15, 2014.

While the aggregate amount of stock and cash to be paid to IGT shareholders has remained unchanged, the amendment eliminates the mechanism for IGT shareholders to elect all-stock, all-cash consideration, or a mixed election, subject to proration.  Upon completion of the merger, all IGT shareholders will receive $13.69 in cash plus 0.1819 shares (subject to adjustment) of newly formed U.K. holding company NewCo, for each share of IGT common stock.


The amendment also reflects a reduced number of required approvals from gaming regulators as a condition precedent to closing.

Additionally, De Agostini S.p.A., the majority GTECH shareholder, will continue to have the right to select seven members to the 13-member combined company board, but the amendment reduces the number of those directors who meet the independence standards of the New York Stock Exchange from four to three.

GTECH and IGT entered into the amendment with the overall intent of improving the timing and certainty of completion of the transaction in the interests of both companies and their shareholders. In particular, providing IGT shareholders with the aforementioned election mechanism would have had the effect of imposing additional regulatory and disclosure requirements that would have made the transaction process unduly complex and burdensome and caused delays to its completion timetable.

Swedish Sports Alliance Launch New Digital Lottery Platform on Mobile and PCs

SWEDEN (September 18, 2014) – The Swedish Gaming Board has given the Swedish Sports Alliance a license to start Klubblo – a new digital lottery platform on mobile and PCs designed to boost funding for Swedish sport. Klubblo is open to all sports federations and associations within the Alliance for Sport.

The deal to deliver bespoke lottery gaming products is a joint venture between media partner Metro and casino operator Cherry, with the games being provided by Yggdrasil Gaming.

Klubblo offers a variety of scratch cards that are played online via mobile phone or PC. The fact that the lottery games are digital means coaches, parents, children and young people do not have to spend time knocking on doors to sell lottery tickets, but can use that time for association development, sports and school work.

The players choose which associations their money goes to safe in the knowledge that any money generated by them will be distributed to a sports club that is close to their heart.


Each federation or association also has the unique ability to easily create custom-specific lottery tickets via, ensuring their brand gets visibilty.

The Sports Alliance is currently composed of 27 of the foundation's sports federations and the two alliance unions, Djurgården IF and Hammarby IF. The Board includes representatives of several sports federations.

Betting Industry Welcomes International Match-Fixing Cooperation

BRUSSELS, Belgium (September 18, 2014) -- The European regulated betting industry welcomes the Council of Europe’s Convention on match-fixing, which aims to prevent the manipulation of sports results. The EGBA, ESSA, and the RGA, believe that it represents a relatively positive and potentially significant development in the fight against sport and betting related fraud. At the same time, certain provisions raise concerns regarding their compatibility with EU law.

Maarten Haijer, Secretary General of the EGBA, stated: “The convention rightly addresses match-fixing as a cross-border issue that requires international cooperation. It is our hope that it will further set the tone for a more effective cooperation between all stakeholders to eradicate match-fixing. However, we are aware that the CJEU has rightly been asked to provide its opinion on the compatibility of the definition of ‘illegal sports betting’ with EU law, and consider that the application of at least this provision should be postponed until the CJEU has provided legal clarity.


Clive Hawkswood, Chief Executive of the RGA concluded that: “The Convention discussions were at times challenging, with pressure from some stakeholders to introduce a sports betting right and even blanket restrictions on certain bet types. The regulated betting sector worked hard to explain why measures of this kind would not make any material difference to the integrity of sport.

 “The fact those provisions were not included is testament to the constructive policy adopted by the Council of Europe’s secretariat and many of its Member States. What we have now is a relatively balanced and workable framework, which rightly seeks to reflect the range of existing national regulatory frameworks rather than replace them. However there are still a small number of areas that we believe could be improved upon and we hope there will be opportunities to review them in due course”.

Khalid Ali, Secretary General of ESSA, added: “The Convention is principally focused on addressing the danger to sport and to the regulated betting markets from match-fixing, which primarily emanates from organised international criminal gangs, corrupt sportspeople and the unregulated betting sector. As one of the potential victims of that criminal activity, the regulated betting sector welcomes the aims of the Convention, however, it is important that it does impose any unnecessary restrictions that could drive consumers to the unregulated markets.

An evidence-based report on sports betting was recently released by the three associations which found that the “proposal that new markets, such as in-play (or live) betting, offered by regulated betting operators should be restricted or prohibited on sporting integrity grounds does not, given the weight of independent data, appear to be a policy generated from any firm evidence base”.

Camelot Builds New iLottery Platform

Web and mobile platform can be plugged into host gaming systems worldwide

LONDON, U.K. (September 24, 2014) -- Camelot Global, working with Camelot’s in-house product development team, has developed and built a new revolutionary iLottery platform that can be used with any host gaming system worldwide. The new platform was launched in the UK for The National Lottery ( at the beginning of September and will be introduced in Ireland from next year.

IPAP to Establish Specific Training Program within Lotería Chaqueña

CHAQUEÑA, Argentina (September 18, 2014) – The Director of Lotería Chaqueña ( and the Instituto Provincial de Administración Pública (IPAP), have signed a framework agreement that establishes the creation of a specific training program within the state gambling agency.

The creation of the Lotería Chaqueña Training Area (ACILCH) is part of the Provincial Act 3827, passed in 1992 with the aim of increasing rates of productivity, quality and excellence of the state-owned gambling.

"This is part of an old dream of Lotería Chaqueña and conforms to a policy decision by the governor Juan Carlos Bacileff Ivanoff to contribute to building a more efficient and effective state," said agency president Néstor Rolhaiser.

The head of the independent agency also explained that this initiative responds to a series of goals set in the context of the fiftieth anniversary of the organism, in order to "reposition the Lotería Chaqueña in the national context", the growing competitiveness and professionalization requires ongoing training of human capital.


The agreement was signed by Rolhaiser, and Undersecretary of Coordination and Public Management, Maris Telma Gamon, during a ceremony held in the Obligor Hall Government House, attended the official voice Lottery, Patricio Guillen Barn; and vocal by staff, Carlos Torres.

From the Directory Lotería Chaqueña highlighted the excellent attitude of the authorities of the IPAP, an organization that began operating in March to promote the modernization of the different areas of the provincial government.

"For the IPAP is very important that an organization like Chaco Lottery ask this scheme specific training," remarked Gamón secretary, and said that this process will be launched on Friday at the headquarters of IPAP Chaco, located on the pedestrian Perón 26 Resistance, "it will deepen over the next year."

The training delivered by professionals from the IPAP will be divided into different items, such as the user excellent service, teamwork and self-motivation, leadership and management of teams, and effective personal communication.

Rolhaiser highlighted not only the work of the preceding Lotería Chaqueña Directories, but also the efforts of the vowel Torres, who was appropriately one of the supporters of this initiative.

Torres, in turn, thanked "the support of Governor Bacileff Ivanoff and Lottery Board members to realize this goal, which corresponds to the dream of institutionalizing this process of ongoing training."

eCOGRA Self-Regulatory Requirements Keep Pace with Global Best Practice

Latest consumer protection and information security standards included in new updates

LONDON, U.K. (September 19, 2014) -- The independent online gambling regulatory adviser and testing agency eCOGRA, an organisation accredited by twelve different European regulatory jurisdictions, has announced the latest updates to its self-regulatory requirements.

The changes have been made as part of a programme that routinely reviews and renews the company's eGAP Requirements to ensure they are in line with international best practice at all times.

Chief Executive Andrew Beveridge said this week that eCOGRA continues to refine and improve its self-regulation requirements in order to provide ongoing assurance that its seal holders behave responsibly, players are protected and games are fair.

The changes focus primarily on consumer protection and information security, and comprise:

Netherlands Government to Modernise Gambling Policy

DEN HAAG, Netherlands (September 2014) -- The cabinet has approved a plan by Fred Teeven, State Secretary for Security and Justice, to modernise policy on gambling. It has agreed to submit a Remote Betting and Gaming Bill to the House of Representatives, along with its broad view of the future of the lottery and casino markets.

Gambling policy will be modernised in 3 areas. First, online gambling will be regulated from 2015 so that gamblers can play safely and responsibly with supervised providers. Second, the lottery and casino markets will be reformed: Holland Casino will be privatised in 2017, and lottery providers will be given more scope to innovate. And third, more of the profits will go to charities, which already receive more than € 580 million annually from lotteries. Society, too, therefore has a strong interest in an effective lottery system.

The government has chosen a system whereby the objectives of gambling policy (to prevent gambling addiction, protect consumers, and combat fraud and other crime) will no longer be pursued by restricting the supply of gambling opportunities, but by tightening the requirements for providers' licences and strengthening enforcement by the Gaming Authority. These reforms mark a new chapter in the modernisation of gambling policy, which began with the Gaming Authority's establishment in 2012.

Online gambling

From 2015, the Netherlands, like many other EU member states, will permit the issue of licences to providers of online games of chance like poker, casino games, and sports betting.

The current Betting and Gaming Act is almost 50 years old and in need of modernisation. It currently prohibits the provision of games of chance without a licence. It's not possible to obtain a licence for providing online games of chance. Gamblers therefore become dependent on illegal providers, who cannot be adequately supervised. The Remote Betting and Gaming Bill aims to regulate online gambling, which already attracts hundreds of thousands of Dutch people, unprotected and unsupervised. The Bill creates the basis for a licensing system that from 2015 will enable Dutch people to gamble online safely and responsibly. It will impose strict requirements on online gambling providers, including measures to better protect players against gambling addiction. Of their gross turnover, licensed providers in the Netherlands will pay 20% in tax on games of chance, 0.5% as a contribution to the Gambling Addiction Fund, and 1.5% as a contribution to the Gaming Authority.

This will make it easier to identify problem gamblers and offer them assistance. As to high-risk games, whether online or offline, the Authority will create a central registry that will temporarily exclude problem gamblers from them. Online gambling providers will also have to contribute to a fund for the prevention of gambling addiction. In addition, the Bill expands the enforcement powers of the Gaming Authority.


The lottery system is of great social value. The government is therefore keen to provide scope to new initiatives with a social purpose starting in 2017, imposing strict requirements to ensure that this purpose is served. The licences that expire at the end of 2014 will be provisionally extended.

To provide more scope for innovation, the lotteries that currently transfer 50% of their turnover to charities will in future have to transfer only 40%. The lotteries say that the amounts transferred will not fall during the next few years. The Staatsloterij (National Lottery) and lottery provider De Lotto are currently examining whether they can collaborate in the future, a move welcomed by Fred Teeven (State Secretary for Security and Justice) and Eric Wiebes (State Secretary for Finance).


Holland Casino is currently the only legal provider of casino gambling in the Netherlands, and the State of the Netherlands its sole shareholder. Since state ownership and restricting the number of casino providers are unnecessary for achieving the objectives of gambling policy, Holland Casino will be privatised in 2017 and new casino providers will be permitted. For this purpose, Holland Casino, with its 14 establishments, will be split up and sold. 10 of its establishments will be sold together under the name 'Holland Casino', and the other 4 will be sold separately to new providers. In addition, 2 licences will be granted for new casinos, as a result of which, in 2017, the Netherlands may have a total of 16 casinos.

The licences will be spread across 5 regions in order to avoid concentrations of casinos in some parts of the country and illegal casinos in others. All the new casino providers must pursue prevention policies that are at least as rigorous as that of Holland Casino. The government aims to submit a bill to regulate the new casino system for public consultation before the end of 2014.

GSA Hold Successful European Workshop, Bringing Together Gaming Industry and Regulatory Domain Leaders

LONDON, U.K.  (September 22, 2014) – The Gaming Standards Association (GSA) hosted a well-attended and successful two-day workshop in London to encourage an open dialogue between the gaming industry and regulatory domain leaders.

Delivering the keynote address was Dr. Jason Lane of the Jersey Gambling Commission and Chairman of the Gaming Regulators European Forum (GREF). Dr. Lane gave an informative overview of the current regulatory dialogue and collaboration within the industry and specifically in the technical area of gaming.

GSA Protocol Director Ethan Tower gave an overview of GSA’s Online Gaming Committee (OGC) and the draft online gaming standard. An abbreviated example of the standard was distributed exclusively to attendees, and Phyllis Farrugia, GSA’s Special Representative in Europe, led an open discussion on the development of the standard. Additionally, the OGC discussed differences and commonalities between various regulatory requirements and established the committee’s approach to satisfying those requirements.

Also presenting was Remote Gaming Association Director of Projects and Policy Sue Rossiter who spoke about the importance of technical standards and solutions, and why standards are important to Operators.

The event also featured an important roundtable discussion on the challenges of multi-jurisdiction supply, interoperability, and integration and compliance. Moderating was Dr. Alan Littler from Kalff, Katz & Franssen: Attorneys At Law. Panelists included representatives from the diverse gaming industry: Mediatech Solutions Executive Director Paulina Guzman; AMAYA Online Director of Compliance Anna Dearlove; and OpenBet Director of Product Marketing Peter James.

With the Florida Lottery, Winning is "Music" to Your Ears

TALLAHASSEE, Florida (September 19, 2014) -- This week, the Florida Lottery introduced a new "winning sound" to its terminal system. Whenever a winning Scratch-Off or Terminal game ticket is presented for validation, the Terminal will play a distinct sound indicating that the ticket is a winner.

"The Florida Lottery chose to implement this safeguard as an added layer of protection for our players, and to minimize confusion as to whether the ticket is a winner," said Secretary Cynthia O'Connell. "The winning sound will notify the player, as well as the retailer, that the player has won."

Now, when a player self checks his or her ticket using an Express Check unit, the monitor will show the prize amount won, including prizes of $600 or more. However, the Express Check units will not play a "winning sound."

The Florida Lottery encourages players to protect themselves and their tickets by signing the back of their ticket upon purchase, checking their own ticket to see if it's a winner and watching the monitor while the ticket is being validated at a retailer. If there is a question about the ticket being a winner or the prize amount won, players should ask that the original ticket be returned to them, then contact the Florida Lottery Customer Service Office at (850) 487-7787.
